DECT Beta Tester Agreement

1. Acceptance of Agreement

By submitting a beta signup application and checking "I agree to the Beta Tester Agreement", you acknowledge that you have read, understood, and agree to be bound by this agreement in its entirety. This constitutes a legally binding clickwrap agreement between you ("Beta Tester" or "you") and the owner and operator of DECT ("DECT," "we," "us," or "our"). If you do not agree to every provision of this agreement, do not submit the application and do not use the beta software under any circumstances.

This agreement governs your participation in the DECT pre-release beta program ("Beta Program") and your use of any pre-release, beta, or evaluation version of the DECT software ("Beta Software"). Your submission of a beta application does not guarantee acceptance into the Beta Program.

2. Selection Criteria and Non-Discrimination

Participation in the Beta Program is selective and limited. DECT reserves the sole and absolute right to approve or deny any application at its discretion. Acceptance into the Beta Program is not guaranteed to any applicant.

Approval decisions are made exclusively on the basis of objective, program-related criteria, which may include one or more of the following:

Selection is based entirely on program-relevant, non-discriminatory factors. No application is approved or denied on the basis of race, color, national origin, religion, sex, gender identity, sexual orientation, age, disability, or any other characteristic protected by applicable federal, state, or local law. Any claim to the contrary is expressly denied. Approval decisions reflect technical and operational fit for the Beta Program only.

DECT's selection decisions are final and no applicant is entitled to an explanation, appeal, or reconsideration of a denial.

3. Beta License Grant

Subject to your compliance with this agreement in full, DECT grants you a limited, non-exclusive, non-transferable, revocable, personal license to install and use the Beta Software solely for internal evaluation and testing purposes during the Beta Program period. No other rights are granted.

This license does not grant you any rights in connection with any commercial release of the Software. The Beta Software is experimental and is not a finished commercial product. DECT may modify, suspend, or discontinue the Beta Program or the Beta Software at any time without notice or liability.

You may not use the Beta Software for any production, commercial, or revenue-generating purpose without DECT's express prior written consent.

4. Mandatory Feedback Obligation

Active participation and feedback are not optional — they are a condition of your beta license. Failure to provide feedback is grounds for immediate license revocation.

In exchange for free access to the Beta Software, you agree to actively participate in the Beta Program by:

If you are unwilling or unable to provide substantive feedback, you must not apply to the Beta Program or must notify DECT so your access can be reallocated to another applicant. A Beta Tester who installs the Beta Software but does not engage in active testing or feedback — regardless of the reason — may have their license revoked at DECT's sole discretion without notice or compensation.

5. License Revocation

Beta access can be revoked at any time, for any reason or no reason, at DECT's sole and absolute discretion, without prior notice, explanation, liability, or obligation of any kind.

Without limiting the foregoing, revocation may occur as a result of, but is not limited to:

Upon revocation or expiration of your beta access for any reason, you must immediately and permanently delete all copies of the Beta Software and any associated files from all devices in your possession or control. You may be required to certify destruction upon request.

Revocation of beta access does not entitle you to any compensation, refund, credit, or any other form of remedy.

6. No Entitlement to Commercial License

Participation in the Beta Program — including full completion of all feedback obligations — does not create any entitlement to, or expectation of, a free, discounted, or preferential commercial license to DECT or any future software product.

Beta Testers will have the same opportunity as the general public to purchase a commercial license when DECT is released, at whatever price DECT determines in its sole discretion. DECT may or may not offer promotional pricing to beta participants, but makes no promise, representation, or commitment to do so. Any such offer, if made, will be communicated in writing and will be subject to its own terms.

Nothing in this agreement, in any prior communication, or in any marketing material constitutes a promise of future commercial access.

7. Confidentiality

The Beta Software, and all information about it, is strictly confidential. Violation of these confidentiality obligations will result in immediate, permanent revocation of your beta access.

"Confidential Information" means the Beta Software itself, all pre-release features, user interface designs, workflows, system behavior, performance characteristics, bugs, known issues, roadmap items, and any other non-public information about DECT disclosed to you in connection with the Beta Program, whether disclosed orally, visually, electronically, or in any other form.

You agree that you will NOT:

These confidentiality obligations survive the termination or expiration of your beta access indefinitely. They apply even if DECT has not expressly labeled particular information as confidential. When in doubt, treat all information about the Beta Software as confidential.

You acknowledge that a breach of these confidentiality obligations would cause DECT irreparable harm for which monetary damages would be an inadequate remedy, and that DECT shall be entitled to seek injunctive or other equitable relief in addition to all other available remedies.

8. Intellectual Property Assignment

The Beta Software, including all source code, design, user interface, architecture, and associated materials, is and shall remain the exclusive intellectual property of DECT. All rights not expressly granted in this agreement are reserved.

You hereby irrevocably assign to DECT all right, title, and interest — including all intellectual property rights — in and to any feedback, suggestions, ideas, bug reports, feature requests, usability observations, test results, or other information you submit to DECT in connection with the Beta Program ("Feedback"), whether submitted voluntarily or as part of your feedback obligations.

DECT may use, incorporate, modify, reproduce, distribute, and commercialize any Feedback in any manner, in any product or service, without restriction. You are entitled to no compensation, attribution, royalty, or consideration of any kind for Feedback, including for any suggestion that is later incorporated into a commercial release of DECT or any other product. This assignment is perpetual, irrevocable, worldwide, and royalty-free.

You represent and warrant that any Feedback you provide is your original work and does not infringe any third-party intellectual property rights.

9. Assumption of Risk and Beta Software Risks

You expressly acknowledge that the Beta Software is experimental, unfinished, and potentially unstable. You assume all risk associated with its installation and use.

By agreeing to participate in the Beta Program, you acknowledge and accept that:

You are solely responsible for maintaining adequate backups of your data and Bolero system configurations prior to and during participation in the Beta Program. DECT strongly recommends testing the Beta Software only in non-production environments.

10. Data Collection During Beta

You expressly consent to the collection of the following categories of data during your participation in the Beta Program, for the sole purpose of improving and developing the Software:

This data does not include personally identifiable information beyond the name and email address you provided at signup. Beta usage data is used exclusively for product development purposes and is not sold or shared with third parties except as required by law. Data collected during the Beta Program may be retained after the program concludes for ongoing development purposes.

DECT's handling of any personal data you provide is governed by the DECT Privacy Policy, available at dect.app.

11. License Restrictions

In addition to all other restrictions set forth in this agreement, you agree that you will NOT:

12. No Warranty

THE BETA SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW. DECT EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

You acknowledge that the Beta Software has not been commercially released and is not suitable for use in production or mission-critical environments. You bear the entire risk as to the quality, performance, and suitability of the Beta Software.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL DECT, ITS OWNER, OFFICERS, AGENTS, OR ASSIGNS BE LIABLE FOR ANY DAMAGES OF ANY KIND ARISING OUT OF OR RELATED TO THE BETA PROGRAM OR YOUR USE OF THE BETA SOFTWARE.

This absolute exclusion of liability includes, without limitation:

This limitation applies regardless of the cause of action, whether in contract, tort (including negligence), strict liability, or any other legal theory, and regardless of whether DECT has been advised of the possibility of such damages. Because the Beta Software is provided at no charge, DECT's total aggregate liability to you under or in connection with this agreement shall not exceed zero dollars ($0.00).

Some jurisdictions do not allow the exclusion or limitation of certain categories of damages. To the extent that any such limitation is not enforceable in your jurisdiction, that limitation is modified to the minimum extent necessary to make it enforceable, and all other limitations remain in full effect.

14. Indemnification

You agree to defend, indemnify, and hold harmless DECT, its owner, officers, agents, representatives, and assigns from and against any and all claims, demands, actions, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

DECT reserves the right to assume exclusive control over the defense of any matter subject to indemnification by you, at your expense. You agree to cooperate fully with DECT in asserting any available defenses.

15. Governing Law and Dispute Resolution

This agreement is governed by and construed in accordance with the laws of the State of Georgia, United States of America, without regard to its conflict of law principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply to this agreement.

Any dispute, claim, or controversy arising out of or relating to this agreement or your participation in the Beta Program shall be subject to the exclusive jurisdiction of the state and federal courts located in Fulton County, Georgia. You irrevocably consent to personal jurisdiction and venue in those courts and waive any objection to the laying of venue in those courts.

Nothing in this section prevents DECT from seeking injunctive or other equitable relief in any court of competent jurisdiction to prevent irreparable harm, including harm arising from a breach of the confidentiality provisions of this agreement.

16. Release of Claims and Covenant Not to Sue

BY ACCEPTING THESE TERMS AND PARTICIPATING IN THE BETA PROGRAM, YOU VOLUNTARILY, KNOWINGLY, AND IRREVOCABLY RELEASE, WAIVE, AND FOREVER DISCHARGE DECT, ITS OWNER(S), OFFICERS, AGENTS, CONTRACTORS, AND AFFILIATES FROM ANY AND ALL CLAIMS, DEMANDS, CAUSES OF ACTION, DAMAGES, LOSSES, COSTS, AND LIABILITIES OF ANY KIND — WHETHER KNOWN OR UNKNOWN, SUSPECTED OR UNSUSPECTED, DISCLOSED OR UNDISCLOSED — ARISING OUT OF OR IN ANY WAY RELATED TO YOUR USE OF THE BETA SOFTWARE, YOUR PARTICIPATION IN THE BETA PROGRAM, OR ANY ACT OR OMISSION OF DECT IN CONNECTION THEREWITH.

You expressly covenant not to sue DECT or any of the released parties for any claim released above. This release includes, without limitation, claims arising from:

You acknowledge that you may later discover facts different from or in addition to those you now know or believe to be true regarding the matters released above. You agree that this release shall remain in full force and effect notwithstanding the discovery of any such additional or different facts. You expressly waive any rights you may have under any statute or common law principle that would otherwise limit the scope of this release to claims known or suspected at the time of signing.

17. Severability

If any provision of this agreement is held by a court of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, that provision shall be modified to the minimum extent necessary to make it enforceable, or if it cannot be so modified, it shall be severed from this agreement. The validity, legality, and enforceability of all remaining provisions shall not in any way be affected or impaired, and this agreement shall continue in full force as if the invalid provision had never been included.

18. Entire Agreement

This agreement, together with the DECT License Terms incorporated herein by reference, constitutes the entire agreement between you and DECT with respect to the Beta Program and the Beta Software. It supersedes all prior and contemporaneous understandings, representations, warranties, agreements, and communications — whether oral, written, or electronic — relating to the subject matter hereof, including any representations made in marketing materials, emails, application forms, or other communications prior to the execution of this agreement.

No modification of this agreement will be binding unless made in writing and signed by DECT. No waiver of any provision shall constitute a waiver of any other provision or of the same provision at any other time.
